FRAMEWELL LLC TERMS OF SERVICE

1. Overview & Scope of Services

Framewell LLC ("Framewell") provides comprehensive YouTube marketing services, including strategy, scripting, filming, editing, publishing, thumbnail creation, channel optimization, analytics reporting, and consultation (collectively, the "Services").

2. Client Obligations

You agree to:

  • Provide timely feedback and approvals
  • Grant access to filming locations and required resources
  • Cooperate fully with scheduling and production requests

3. Ownership & Rights

  • Framewell retains full ownership and copyright of raw footage unless explicitly transferred in writing.
  • Upon full payment, Clients receive a world‑wide, perpetual, non‑exclusive license to use, reproduce, display, distribute, and create derivative works from the final delivered content across all Client‑owned or Client‑controlled channels (e.g., corporate websites, social media, paid advertising, trade shows, and internal communications). This license may be extended to the Client's subsidiaries, affiliates, and authorized resellers solely for promotion of the Client's own products or services, but may not be sold, assigned, or sublicensed to unrelated third parties without Framewell's prior written consent.
  • Framewell retains rights to showcase produced work for promotional purposes unless expressly opted out in writing.

4. Performance & Results Disclaimer

Framewell does not guarantee specific business outcomes (revenue, leads, views, conversions) resulting from its Services. Client acknowledges results depend on various external factors beyond Framewell's control, including market conditions, platform algorithms, competition, and client actions.

5. Payment Terms

  • Billing Start Date — The initial content audit is free and carries no obligation. Monthly billing begins on the earlier of (i) the date the Client signs the Service Agreement and package proposal, or (ii) the first scheduled filming session.
  • Invoicing Cycle — Invoices are issued on the same calendar day each month corresponding to the Billing Start Date.
  • Payments are due within 30 days of invoice receipt.
  • Late payments incur a fee of 1.5% monthly or the maximum allowable under Michigan law.

6. Termination & Refund Policy

  • Clients can cancel within 30 days of Service initiation for a full refund under the 30‑Day No-Risk guarantee.
  • Beyond 30 days, cancellation must be in writing with at least 30 days' notice.
  • Upon termination, Framewell will deliver all completed, fully-paid-for content.

7. Limitation of Liability

Framewell's maximum liability under this Agreement, whether contractual or otherwise, is strictly limited to the amount paid by Client in the preceding three (3) months before the claim.

8. Force Majeure

Neither party is liable for delays or failure caused by acts of nature, pandemics, governmental actions, equipment failures, or any circumstances beyond their reasonable control.

9. Governing Law & Jurisdiction

These terms are governed exclusively by the laws of the State of Michigan, with any disputes resolved within the jurisdiction of courts in Kent County, Michigan.

Acceptance

Your continued engagement with Framewell's Services constitutes your acceptance of these Terms of Service and Privacy Policy in full.
